a. Sprinkle Road Wastewater System Improvements: Sprinkle Road Force Main, Spruce Street Lift Station & Biofilter – Village Staff is recommending approval of contract #1 being awarded to Kamminga & Roodvoets in the amount of $9,779,835,25. The public bid process received 3 qualified bids and this amount $853K less the #2 bid and over $3M less than #3. The approval will be contingent on the Federal USDA closing the loan. (Federal Shutdown has slowed this process). This project has already been figured into the current utility rates and will not increase them.
b. Sprinkle Road Wastewater System Improvements Contract no. 2 – Sprinkle Road CIPP Lining. Village staff is recommending approval of contract #2 being awarded to DVM Utilities in the amount of $758,880.00. The public bid process received 3 qualified bids and this was over $75K less than bid #2 and nearly $500K less than bid #3. The approval is contingent on the Federal USDA loan closing the loan. This project has already been figured into the current utility rates and will not increase them.
c. Resolution #01-10202025: The resolution relates to the sewer system project and has been prepared with a not-to-exceed bond amount of $1,686,000 as requested, with a term of not to exceed 20-years. This is intended to preserve the option for the Village to finance some or all of the projected cost overruns. The resolution serves two main purposes which are described below.
Publication of Notice of Intent
The Revised Municipal Finance Act, Act 34, Public Acts of Michigan, 2001, as amended, requires the Village to notify registered electors of its intent to issue the bonds by publishing a notice in the newspaper which gives the voters a referendum right on the issuance of the bonds. The bonds can be issued without a vote of the electors, unless a valid petition is filed with the Village Clerk within 45 days of the publication of the Notice of Intent signed by at least 10% of the registered electors. The form of Notice is set forth on Exhibit A of the resolution and must be published as a display advertisement at least one-quarter page in size. We have indicated in Section 1 of the resolution that the Notice will be published in the MLive Kalamazoo Edition.
Declaration of Intent to Reimburse
The resolution’s second purpose is to meet the requirements of the federal tax law regulations pertaining to tax-exempt bonds. Treasury Regulation § 1.150-2 provides in effect that an issuer of municipal bonds may reimburse itself for expenditures made prior to the issuance of bonds only if it has declared its intention to do so in advance. (There is a 60 day grace period in the regulation. That is, the resolution covers expenditures made up to 60 days prior to the date of the resolution.) The resolution makes this declaration in Section 4.
The language of the resolution is taken from the Treasury Regulation and, not surprisingly, it therefore reads as tax jargon. The Village will need to keep a careful paper trail of expenditures and of reimbursements. Both the expenditure and the subsequent reimbursement must be specifically linked to the project.
d. Director of Finance Adjustment of Compensation: Village Manager is recommending approval of an adjustment in the Director of Finance HSA payment for the calendar year of 2026 in the amount of $8,750.00. This is in recognition for the Director’s performance, tenure, and like-position municipality compensation. The amount will be applied in January 2026.
